These Terms of Service ("Terms") govern your access to and use of the SeriesOS platform, websites, applications, assessments, data rooms, reports, content, tools, and related services (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms.

2. Description of Services
SeriesOS provides founder readiness, investor readiness, business assessment, compliance guidance, educational resources, business intelligence tools, AI-assisted recommendations, and related services.
SeriesOS may also facilitate connections between founders, investors, lenders, grant opportunities, strategic partners, service providers, and other business resources.
SeriesOS is not a broker-dealer, investment adviser, attorney, accounting firm, bank, lender, venture capital fund, or grant-making organization.
3. No Guarantee of Funding
SeriesOS does not guarantee:

Bank financing

SBA financing

Government contracts

Business success

Revenue generation

Business growth
Any readiness score, recommendation, report, assessment, or platform output is informational only.
Past results do not guarantee future outcomes.
4. AI-Generated Content and Recommendations
SeriesOS may utilize artificial intelligence, machine learning, automation systems, and algorithmic models.
Outputs generated by these systems may include:

Summaries

Strategic suggestions
Users acknowledge that automated outputs may contain inaccuracies, omissions, errors, or outdated information.
Users are solely responsible for evaluating and validating all recommendations before relying upon them.
5. User Accounts
Users are responsible for:

6. Founder Content
Users retain ownership of materials uploaded to SeriesOS, including:

Compliance documents

Investor materials

Data room content
By uploading content, users grant SeriesOS a limited license to host, store, process, analyze, display, and transmit such content solely for operating and improving the Services.
7. Data Rooms and Investor Access
SeriesOS may provide founders with the ability to share information with investors, lenders, grant reviewers, advisors, and other authorized parties.
Founders are solely responsible for determining which information they choose to disclose.
SeriesOS does not guarantee confidentiality after a founder intentionally shares information with a third party.
SeriesOS is not responsible for actions taken by investors or other third parties who receive information through founder-authorized sharing.
8. Prohibited Activities
Users may not:

Upload fraudulent information

Upload malicious code

Attempt unauthorized access

Interfere with platform operations

Impersonate another individual or entity

Use the Services for unlawful activities
SeriesOS may suspend or terminate accounts that violate these Terms.
9. Intellectual Property
SeriesOS, its software, branding, trademarks, content, reports, readiness methodologies, scoring systems, workflows, and platform functionality are owned by SeriesOS or its licensors.
Users may not copy, reproduce, distribute, reverse engineer, or exploit SeriesOS intellectual property without written permission.
10. Third-Party Services
SeriesOS may integrate with third-party services including hosting providers, payment processors, analytics providers, communication tools, and business platforms.
SeriesOS is not responsible for third-party products, services, content, security practices, or availability.
11. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis.
SeriesOS makes no representations or warranties regarding:

12. Limitation of Liability

SeriesOS's total liability for any claim shall not exceed the amount paid by the user to SeriesOS during the twelve (12) months preceding the claim.
13. Indemnification
Users agree to defend, indemnify, and hold harmless SeriesOS and its affiliates from claims, liabilities, damages, losses, and expenses arising from:

14. Termination
SeriesOS may suspend or terminate access to the Services at any time for violations of these Terms or to protect the security and integrity of the platform.
